Refund Policy

1. Scope

This Refund Policy applies to all services provided by modernlayoutworks, registered at Carrer de Sorní 14, València, Eixample, España. It governs the conditions under which refunds may be requested for web design, AI integration, and related technical services.

2. Milestone-Based Refunds

All projects are structured around defined milestones. Refund eligibility is calculated based on the project completion stage at the time of the request:

  • Pre-Discovery Phase (0% complete): Full refund of any advance payments, minus administrative processing fees of 5%.
  • Discovery & Architecture Phase (1–25% complete): Refund of 75% of the remaining project value, minus costs for work already delivered.
  • Development Phase (26–75% complete): Refund calculated proportionally based on undelivered milestones. Work already completed and delivered is non-refundable.
  • Deployment Phase (76–100% complete): No refund available. All delivered components are considered final and accepted.

3. Non-Refundable Items

The following are excluded from refund eligibility:

  • Third-party software licenses, API subscriptions, and hosting fees already provisioned.
  • Work completed under approved change requests beyond the original project scope.
  • Services rendered for more than 30 calendar days without a formal dispute notification.

4. Refund Request Process

To request a refund, submit a written request to [email protected] including your project reference number, a description of the issue, and supporting documentation. Refund requests are reviewed within 10 business days. Approved refunds are processed within 14 business days via the original payment method.

5. Dispute Resolution

In the event of a dispute regarding refund eligibility, modernlayoutworks will engage in good-faith mediation. If no resolution is reached within 30 days, either party may refer the matter to the competent courts of València, España, in accordance with applicable consumer protection legislation.

Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by modernlayoutworks, located at Carrer de Sorní 14, València, Eixample, España, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our services.

2. Scope of Services

modernlayoutworks provides web design, AI model integration, machine learning pipeline deployment, and related technical services. The specific scope, deliverables, timelines, and pricing for each project are defined in a separate Project Proposal or Statement of Work agreed upon by both parties prior to project commencement.

3. Client Obligations

The client agrees to:

  • Provide accurate, complete, and timely information required for project execution.
  • Respond to milestone review requests within 5 business days to maintain project timelines.
  • Ensure they have the legal right to provide any content, data, or materials submitted for use in the project.
  • Designate a primary point of contact for all project communications.

4. Intellectual Property

Upon full payment of all invoiced amounts, the client receives full ownership of all custom-developed deliverables, including source code, design assets, and documentation created specifically for the project. modernlayoutworks retains ownership of pre-existing tools, frameworks, libraries, and general methodologies used in the delivery of services. Each party retains all rights to their respective pre-existing intellectual property.

5. Payment Terms

Payment terms are as specified in the Project Proposal. Unless otherwise agreed:

  • A 40% advance payment is required before project work commences.
  • Milestone payments are invoiced upon delivery and are due within 14 calendar days.
  • The final 10% is invoiced upon project completion and is due within 7 calendar days of delivery.
  • Late payments incur a statutory interest rate of 8% per annum, plus a fixed compensation of €40 for recovery costs, in accordance with EU Directive 2011/7/EU.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information exchanged during the course of the project. This obligation survives the termination of the agreement for a period of 24 months. Confidential information includes but is not limited to: business strategies, technical specifications, source code, client data, and financial information.

7. Limitation of Liability

To the maximum extent permitted by applicable law, modernlayoutworks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of its services. The total liability of modernlayoutworks under any engagement shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

8. Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from causes beyond reasonable control, including but not limited to: natural disasters, pandemics, government actions, internet infrastructure failures, cyberattacks, or third-party service outages.

9. Termination

Either party may terminate a project agreement with 15 calendar days' written notice. In the event of termination:

  • The client is responsible for payment of all work completed up to the termination date.
  • modernlayoutworks will deliver all completed work products to the client within 10 business days of termination.
  • Any advance payments for undelivered work will be refunded in accordance with the Refund Policy.

10. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of the Kingdom of Spain and the applicable regulations of the European Union. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts of València, España.

11. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

12. Changes to These Terms

modernlayoutworks reserves the right to modify these Terms of Service at any time. Material changes will be communicated via email to active clients at least 14 days before taking effect. Continued use of services after the effective date constitutes acceptance of the revised terms.
